Mina,

Would I be able to upgrade to version 3.0 without losing my materials and layout?

You should be able to, I have another blog that is running the Daily Minefield theme and I upgraded it to 3.0. Of course I don't use a lot of plugins which can always cause problems and they may or may not have been upgraded to work with the latest version. But ALWAYS BACKUP BEFORE UPGRADING!!!!!!!! I can't stress that enough.

I personally have a certain way I do upgrades that's saved me a lot of headaches in the past...I posted about it on the main site and you can read here.

I never installed a plug-in on this theme. With that said, what exactly does 'backing up' mean? Besides saving the php's and css sheet html, would I have to back up my media and pages?

If you don't have any plugins installed then you don't have to worry about conflicts or anything like that...that's good. The theme should work fine then BUT (and I should have mentioned this earlier) if there are any new functions in the new version (like the menu option which I haven't checked out yet) there are chances that those won't work with an old theme. I'm trying to find time to go through all the themes and get them updated but I'm currently in training for a new job and time just doesn't seem to be there...hopefully I can get it done soon.

Backing up also means the database. Every time you make a post or create a page or add any content to your site, it all goes into the database. Lose your db and and you lose it all. That's why it's also important to do backups on a regular basis as you never know when something might go wrong (server down, hackers, etc).

There are several ways to backup and instead of me trying to explain in my rambling manner, I have a link from the Codex that will help explain - WordPress Backups. I also do keep copies of my theme, once I get it the way I want it I just download a copy and keep it handy. Then of course, there are plugins that supposedly automate the issue. I've never used them but you can find some here.
